On Dec.18, 2005, Chinese State Council promulgated the decision on the amendment of the Regulations of the People's Republic of China on Company Registration, which made a full-scale amendment to the existing one. The amended Regulations of the People's Republic of China on Company Registration (hereinafter referred to as "the new Registration Regulations") was promulgated on Dec. 22, 2005, which has 12 chapters and 89 articles including general provisions, jurisdiction of registration, items for registration, registration for establishment, registration for alteration, registration for cancellation, registration of branch companies, procedures of registration, annual checking, management of licenses and archives, legal responsibility and supplementary provisions.
